CS3D and CSDDD software – tools for the EU supply chain law

The next EU directive from the ESG cosmos is coming and will create further requirements in sustainability reporting: the European supply chain law CSDDD. We will show you how CSDDD software will help you in the future and how you can find the right tool.

n April 24, 2024, the EU Parliament passed a European supply chain law (the so-called Corporate Sustainability Due Diligence Directive, or CSDDD or CS3D for short) that was watered down compared to the original draft and had been negotiated for a long time. After the directive was approved by the EU states at ministerial level, the CSDDD was published in the Official Journal of the EU on July 5, 2024. The individual EU states have a period of two years (until July 26, 2026) to implement the rules into national law.

What does the EU CSDDD say?

The Corporate Sustainability Due Diligence Directive (CSDDD) is a directive adopted by the European Parliament to promote sustainability in companies. In the future, companies will be held more accountable to enforce environmental, social and human rights standards along the supply chain. Accountability to stakeholders and the public should ensure that companies report transparently on their own working conditions, environmental impacts and production and procurement practices.

Relationship between the CSDDD and the LkSG

As with the Supply Chain Due Diligence Act, the CSDDD is about due diligence obligations for companies with regard to their sustainability activities in the areas of environmental and climate protection (environmental due diligence) and human rights (human rights due diligence). Not only the company itself, but also subsidiaries, suppliers, customers and all other contractual partners must be included in the review.

The CSDDD represents a tightening of the German LkSG (particularly with regard to the legal consequences of non-compliance, see below).

The LkSG came into force on January 1, 2023 and has affected companies based in Germany with 3,000 or more employees since 2023. Since January 2024, the LkSG reporting obligation also applies to companies with at least 1,000 employees. From 2025, companies with at least 500 employees will be required to report, and from 2027, companies with at least 250 employees will be required to report.

The following areas of application apply to the CSDDD:

Possible legal consequences of non-compliance

Hier liegt die eigentliche Verschärfung der CSDDD im Vergleich zum LkSG. Beim LkSG gibt es bei Nichteinhaltung der Sorgfaltspflichten keine zivilrechtliche Haftung auf Schadenersatz, allerdings hohe Geldbußen von bis zu zwei Mio. Euro und Ausschluss an öffentlichen Ausschreibungen.

Bei der CSDDD hingegen wird es eine zivilrechtliche Haftung auf Schadenersatz geben: Opfer von Menschenrechtsverstößen über die gesamte Lieferkette hinweg können künftig von den Herstellern Schadenersatz verlangen. Hinzu kommen hohe 
Geldbußen von bis fünf Mio. Euro sowie ebenfalls den Ausschluss an öffentlichen Ausschreibungen.

What does the CSDDD mean for companies?

„Due Diligence“ bedeutet auf Deutsch so viel wie „angemessene Sorgfalt“. Um dies zu gewährleisten, müssen Unternehmen mögliche Risiken und Schwächen entlang der Lieferkette identifizieren, die in Bezug auf die Umwelt und Menschenrechte aufkommen könnten. Im Anschluss sind Unternehmen dazu verpflichtet, Minderungsstrategien für gefundene Risiken zu finden. Dabei müssen sie transparent berichten, mit welchen Maßnahmen sie die gefundenen Risiken lösen werden. 

Diese Anforderungen gelten ebenso für Tochterunternehmen und sind entlang der gesamten Wertschöpfungskette wirksam. Die Unternehmensführung wird zudem dazu verpflichtet, diese Richtlinien bei der Entwicklung der Geschäftsstrategie zu berücksichtigen. Für große Unternehmen bedeutet die CSDDD noch weitaus mehr: Sie sollen einen Geschäftsplan vorlegen, der mit dem Pariser Klimaabkommen (und damit der Begrenzung der Erderwärmung auf 1,5 Grad) vereinbar ist.

What measures can companies take now?

Zwar steckt die CSDDD noch in den Anfängen, doch sollten sich Unternehmen bereits jetzt vorbereiten, um die „angemessene Sorgfalt“ zu erfüllen und die dafür wichtigsten Prozesse im Unternehmen einzuleiten. Erste Maßnahmen zur Umsetzung der Corporate Sustainability Due Diligence Directive sind:
